1. What these terms cover

This is information about a proposed hotel-stay voucher and climate-action programme through IMPT, operated by AI Tokenomics Limited, Dublin, Ireland. It is not a hotel-specific offer, a subscription agreement or an invitation on this website to commit money. Visiting the website or registering a hotel does not create a voucher purchase or approve a programme.

A hotel-specific contract must identify the voucher issuer, hotel service provider, platform responsibilities, permitted countries, payment provider and applicable law before any transaction. These website terms are not a substitute for that contract, required disclosures or project-specific legal review. Questions may be sent to [email protected].

2. Intended utility is not an exemption

The intended use is access to defined hotel-stay benefits and permitted voucher transfers within an approved IMPT-supported programme. No shares, hotel ownership, voting rights, profit participation or cash distributions are offered by this website. A hotel voucher and the existing IMPT token are not automatically the same instrument or the same right.

Words such as voucher, utility, transfer or service charge do not determine regulatory status. The actual rights, economics, issuer, transfer arrangements and marketing must be assessed in every relevant jurisdiction. Use of the existing IMPT token does not itself authorise a hotel programme or make a regulatory exemption available.

Before any offer, the responsible parties must confirm the permitted structure, required authorisations, consumer protections and any white paper, notice or other disclosure. If investment-like rights, repayment obligations or trading arrangements require a different regulated structure, the programme must be revised or satisfy those requirements before it is offered. No regulator approval or legal clearance is represented here.

3. A measurable 8–15-year climate commitment

Each participating hotel must agree a climate-action term of 8–15 years, its starting emissions baseline, a budgeted improvement plan, measurable milestones, responsible parties and reporting arrangements. The plan may include energy efficiency, lower-emission heating and cooling, renewable energy and water-saving projects where suitable. IMPT-token use and hotel participation must be defined in the project agreement, not assumed to deliver an environmental outcome.

The hotel must measure progress, report at least annually and agree suitable independent verification. Any purchased carbon credits and registry retirements must be evidenced and reported separately from the hotel's own emissions reductions. Offsetting or token ownership does not establish that a hotel or stay is carbon neutral, climate positive or free of environmental impact.

The current calculator still illustrates 12 years of scheduled hotel cash payments and 15 years of stay benefits and climate participation. The 8–15-year programme range does not shorten those illustrated obligations or automatically extend the separate room-token holding term. The final contract must reconcile every term before any sale.

4. Hotel vouchers and booking rights

Before purchase, the hotel-specific terms must state the service provider, eligible properties, voucher value or stay entitlement, currency, taxes, room categories, booking notice, capacity limits, any blackout dates, expiry and redemption process. They must also explain cancellation, refunds, complaints and what happens if the hotel cannot provide an agreed stay. An accepted booking remains subject to its applicable contractual and statutory protections.

The illustrations describe annual hotel credits equal to 10% of an original contribution for 15 years. Those credits are hotel-use benefits, not cash interest or an automatic right to receive principal back. They do not automatically work at every hotel on IMPT. Wider-network redemption requires a separately agreed and funded arrangement.

Consumer and voucher protections depend on the product and jurisdiction. Qualifying Irish gift vouchers generally require at least five years' validity; exclusions and other rules may apply. Annual booking windows or transfer conditions must not remove mandatory validity, refund, cancellation or other consumer rights. The programme must settle these details before accepting a purchase.

5. Permitted transfers and IMPT-token use

Transfers are available only where the final voucher terms, platform controls and applicable law permit them. The terms must explain who may transfer or receive a voucher, how ownership and outstanding benefits are recorded, any identity or eligibility checks, disclosed charges and the effect of a transfer on existing bookings. This website does not enable transfers or establish a secondary market.

No resale price, ready buyer, exchange listing, market-making facility, liquidity or conversion to cash is promised. IMPT-token price and liquidity can change materially, and a hotel-owned token holding is at risk. The stated USD 100-per-room holding is the hotel's asset, not a platform service fee; its lock and release conditions require explicit agreement.

6. Transparent charges and payment assumptions

The current commercial illustration allocates 20% of original gross voucher proceeds to marketing and a separate 5% to IMPT as a programme service charge. This service description does not change the charge's amount, economic effect or legal treatment. There is no joining fee in these illustrations. Region-licence costs and other unquoted project costs remain separate.

The existing model also shows scheduled hotel cash payments to IMPT of 8% of original gross proceeds each year for 12 years, plus a charge equal to 10% of the agreed interest amount. For calculation only, that additional charge is applied to the entire 8% base, producing 8.8% combined annual payments. This interest-based assumption is provisional, not an agreed voucher price or a finding of utility status. Its basis and regulatory treatment must be resolved before a programme is offered.

These hotel-to-IMPT payments are separate from hotel-use credits for voucher holders. Whether any hotel payment funds those credits, who bears their delivery cost and whether principal settlement is required must be explicit in the contract. No charge or obligation disappears because it is described as a service. The examples are planning comparisons, not quotations or promises of savings.

7. No promised sales or outcomes

No minimum voucher sales, proceeds, completed transaction, launch date, bank-cost saving, occupancy uplift, token value or resale outcome is promised. Marketing expenditure does not establish demand. A target launch in as little as one week applies only after readiness checks, approvals and mandatory notice periods are complete; it does not mean money will be received in a week.

Hotel service capacity, environmental delivery, redemption costs, inflation, operational performance and counterparty failures can affect the programme. The hotel remains responsible for its agreed stay benefits and climate obligations. Nothing on this page removes an existing contractual duty or limits liability or remedies that applicable law does not allow to be excluded.

8. Documents, changes and contact

Before any payment, each buyer must receive the applicable hotel-specific terms, full price and charges, service and transfer restrictions, required risk disclosures and a usable complaint route, and must complete the required acceptance process. These public pages do not record that acceptance and do not replace missing programme documents.

A website update does not retrospectively change a purchased voucher, an accepted booking or statutory rights. Material programme changes require the notice, consent and remedies required by the contract and law. Contact [email protected] about these pages or a proposed project. Personal information remains subject to IMPT's privacy policy and any applicable hotel or provider privacy notice.
